The Board of Management of Centrum Nowoczesnych Technologii S.A. based in Sosnowiec (the “CNT,” “Issuer”) announces that on 12 September 2017 the Issuer was informed by its subsidiary  GET  EnTra  Sp.  z  o.o.  based in Warsaw (the “Subsidiary”) regarding conclusion of an annex to the framework agreement on granting bank guarantees (the “Annex”) with Bank PKO BP S.A. based in Warsaw (the “Bank”) on the same day. The Issuer informs about the conclusion of this agreement , among others, in current report No. 68/2016.

Under this Amendment both Parties extend, first of all, the duration of the framework agreement until 12 September 2018.

Additionally, the Annex specifies that that the collateral in a form of registered pledge up to the highest amount of PLN 59.5 million, established on the pecuniary receivable debt resulting from one of the sales agreements concluded by the Subsidiary  and registered pledge to the highest amount of the collateral in the amount of  PLN 59.5 million established on the Subsidiary’s accounts run by the Bank, replaces existing registered pledges that are abovementioned in the current report.

The amount of guarantee limit has not been changed and still amounts to PLN 35 million, with the expiry date of the limit by 12 September 2018 so as to cover Subsidiary’s liabilities resulting form:

- trade agreements for power and/or gas supply,

- agreements on property rights– certificates of origin,

- participation in auctions for the purchase of cross-border powers,

- participation in transmission of power and/or gas through the Transmission Networks Operator,

- obligation to lodge a collateral and a transaction deposit by active members of the Stock Market to the Clearing House on the Commodity or /and Financial market.

- rental agreements of office premises.

Other important terms of the agreement have not been changed.

The Board of the Management of Centrum Nowoczesnych Technologii S.A. based in Sosnowiec (the "Issuer") announces that in connection with the sales of electricity and gas by the subsidiary GET EnTra Sp. o.o. (The "Subsidiary") on 25 August 2017, the total value of trading on the Polish Power Exchange S.A. (the "Exchange") in the period from 26.07.2017 to 25.08.2017 amounted to PLN 114,814.94 thous. The aforementioned amount includes, among others purchase and sales of electricity and gas with a delivery date during the period from 27.07.2017 to 31.12.2018. The transaction with the highest value contained in the aforementioned period was a package of deals of 28.07.2017 including the purchase and sales of electricity and gas with a total value of PLN 17,178.32 thous. with a delivery date during the period from 28 July 2017 to 31.12.2018.

The transactions referred to above made by the Subsidiary are carried out within the core business of energy trading, including in particular electricity trading and gas fuels trading in a network system.

Terms and conditions of concluded contracts (transactions) do not contain any provisions on contractual penalties as well as not diverge from typical terms and conditions of this kind / type of transactions on the market.

The Board of Management of Centrum Nowoczesnych Technologii S.A. (hereinafter referred to as the "Company", "the Issuer") hereby announces termination of Multi-Product Agreement (hereinafter referred to as the "Multi-Product Agreement") on 21 August 2017 which was concluded with ING Bank Śląski S.A. (hereinafter referred to as the "Bank"), which is connected with the Issuer receiving a relevant statement signed by the Bank on the same day. The Multi-Product Agreement was terminated by mutual agreement of the parties.

As a result of the termination of the agreement, all the collateral established for the benefit of the Bank under the Multi-Product Agreement shall be deemed repealed and of no force or effect, which the Company informed about in the Current Report No. 9/2016, such as the following:

• a blank promissory note issued by the Company, including a promissory note declaration;
• contractual mortgage up to the amount of PLN 5,745,000.00 on the Company's right of perpetual usufruct of real estate (including the ownership of a building constituting a separate property) located in Sosnowiec, ul. Niwecka, including an assignment of rights under the insurance policy;
• a civil guarantee granted by an external entity up to PLN 7,600,000.00;
• a monetary collateral established by an external entity of PLN 800,000.00 deposited on an account run by the Bank,

As of the date of termination of the Agreement, the Issuer and the Bank shall not be parties to reciprocal obligations under the Multi-Product Agreement.

The Management Board of Centrum Nowoczesnych Technologii S.A. based in Sosnowiec (the "Issuer", the "Company") hereby provides the attached consolidated text of the Articles of Association of the Company established by Resolution No. 1 of the Supervisory Board of Centrum Nowoczesnych Technologii S.A. on 8 August 2017 under § 17 section 10 of the Articles of Association of the Company pursuant to the authorization granted to the Supervisory Board under the Resolution No. 15 by the Ordinary General Meeting on 13 June 2017.

In the report No. 40/2017 the Issuer published Information concerning the scope of the amendment made to the Articles of Association and registration of the amendment in the Articles of Association of the Company by the Court.

The Board of Centrum Nowoczesnych Technologii S.A. based in Sosnowiec (the "Company", "CNT SA ") notifies today on the information made ​​on 1 August 2017 by the District Court Katowice - East in Katowice, Division VIII of the National Court Register concerning an entry of the amendment to the Articles of Association of the Company made pursuant to the resolution No. 14 of the Ordinary General Meeting of CNT SA of 13 June 2017, which the Company informed about in the current report No. 28/2017.

In accordance with the aforementioned resolution of the Ordinary General Meeting of the Company has decided to amend the Articles of Association of the Company, in such a way that:

A new point 64 will be added to § 8 in the following wording:

“64) Other forms of granting credits - 64.92.Z.”

and the existing wording of § 12 sec. 2 of the Articles of Association of the Company, in the wording:

“General Meetings are held at the registered office of the Company or any other place within the country indicated by the entity convening the General Meeting.”

has been replaced with a new wording:

" The General Meeting is held at the Company's registered office. The General Meeting can also take place in the location which is the seat of a company running a stock exchange on which the shares of that company are traded or elsewhere within the territory of the Republic of Poland indicated by the body convening the General Meeting.”

The Board of the Management of Centrum Nowoczesnych Technologii S.A. based in Sosnowiec (the "Issuer") announces that in connection with the sales of electricity and gas by the subsidiary GET EnTra Sp. o.o. The aforementioned amount includes, among others purchase and sales of electricity and gas with a delivery date during the period from 27.06.2017 to 31.12.2018. The transaction with the highest value contained in the aforementioned period was a package of deals of 17.07.2017 including the purchase and sales of electricity and gas with a total value of PLN 14,813 thous. with a delivery date during the period from 18 July 2017 to 31.12.2018.

The transactions referred to above made by the Subsidiary are carried out within the core business of energy trading, including in particular electricity trading and gas fuels trading in a network system.

The Board of Management of Centrum Nowoczesnych Technologii S.A. ("The Issuer", "the Company") announces that on 24 July 2017, GET EnTra Sp. z o.o. ("Subsidiary") obtained an annex to the bank guarantee issued to Polenergia Elektrociepłownia Nowa Skarzyna Sp. Z o. o. dated 21 July 2017, signed by Bank PKO BP S.A. ("Bank"), intended to secure liabilities of the Subsidiary resulting from the contract of power supply purchase, which the Issuer informed about, among others, In the current report no. 82/2016 dated 25 November 2016. Under the aforementioned annex, the amount of the guarantee was reduced to approx. PLN 12.5 million and the deadline was set for 30  September 2018.

Other warranty terms have not been changed.

With reference to current report No. 26/2017 of 22 May 2017 on the agreement with the Receiver MAXER S.A. in the bankruptcy (the "Contractor") concerning conditions for further execution of the contract (the „Contract”) concerning execution of a construction project "Construction of the Malczyce Barrage on the Odra River" (the „Project”), the Board of Management Centrum Nowoczesnych Technologii S.A. based in Sosnowiec (hereinafter the "Company", "the Issuer") hereby announces that on 20 July 2017, representing a consortium of companies consisting of: Centrum Nowoczesnych Technologii S.A. based in Sosnowiec - Consortium Leader and ETP S.A. based in Katowice - Consortium Partner (hereinafter collectively referred to as the "General Subcontractor") signed an annex  to the abovementioned Contract (hereinafter referred to as "Annex") with the Contractor. The Annex introduces amendments to the Agreement in connection with obtaining financing of construction works for 2017-2018 by the Ordering Party, i.e. the Regional Water Management Board in Wrocław (the "Ordering Party"). Under the Annex, the scope and value of construction and assembly works to be performed by the Consortium for the period 2017 - 2018 is PLN 170.43 million net. The Issuer's share in the work carried out by the Consortium is similar to that of the Consortium Partner.

Under the Annex, the amount of remuneration foreseen for works in 2017 amounts to PLN 67.38 million net and in 2018 is PLN 103.05 million net. Execution of works for the aforementioned amounts is due to achieve the effect of allowing a locking procedure by the Barrage in 2019. At the same time, an initial scope and value of finishing works agreed for 2019 amounts to PLN 19.82 million net, with an exact value and detailed scope of work in 2019 will be determined by the parties at a later date. The aforementioned remuneration does not include works that will be priced separately; yet, inevitable to complete the task called " Construction of the Malczyce Barrage on the Odra River.” Under the Annex, the deadline for execution of the subject matter of the Contract has been set for 31 July 2019. In connection with conclusion of the General Annex, the Subcontractor will be obliged to provide the Ordering Party with an updated bank or insurance guarantee of performance bond for works performed by the Contractor, including the General Contractor, and paid by the Ordering Party by the end of 2016 in the amount of PLN 14.1 million. An end-use security for the works performed by the General Subcontractor from 01.01.2017 will be a retained deposit of 3% of each net invoice issued. Due to the conclusion of the Annex, the remaining terms of the contract have not been changed.

Centrum Nowoczesnych Technologii S.A. (the "Company") hereby provides the list of shareholders holding at least 5% of votes at the Extraordinary General Meeting of Shareholders of CNT S.A. on 16 July 2017 (the "EGM") indicating the number of votes held by each of them proportionally to the number of shares and an indication of their percentage in the total number of votes at the EGM and the share capital of the Company.

At the Extraordinary General Meeting of the Company on 16 July 2017 a total of 5,948,339 shares were represented (out of a total number of 9,090,000 shares in the Company), accounting for 65.44% of the share capital and entitling to a total of 5,948,339 votes at the EGM.

A list of shareholders holding at least 5% of votes at the EGM:

1. FIP 11 FIZ Non-Public Assets held 3,383,511 shares and the same number of votes at the EGM, which accounted for 56.88% of votes at the EGM and represent 37.22% of the share capital of the Company;

2. Multico Sp. o.o. held 614,890 shares and the same number of votes at the EGM, which accounted for 10.34% of votes at the EGM and represent 6.76% of the share capital of the Company;

3. Wartico Invest Sp. o.o. held 509,109 shares and the same number of votes at the EGM, which accounted for 8.56% of votes at the EGM and represent 5.60% of the share capital of the Company;

4. Energopol-Warszawa S.A. held 464,519 shares and the same number of votes at the |EGM, which accounted for 7.81% of votes at the EGM and represent 5.11% of the share capital of the Company;

5. Mr. Zbigniew Jakubas held 442,490 shares and the same number of votes at the EGM, which accounted for 7.44% of votes at the EGM and represent 4.88% of the share capital of the Company;

6. FIP 12 FIZ Non-Public Assets held 420,872 shares and the same number of votes at the EGM, which accounted for 7.08% of votes at the EGM and represent 4.63% of the share capital of the Company;

§ 1

Extraordinary General Meeting of the company called: CNT S.A. with a seat in Sosnowiec, acting on pursuant to art. 409 § 1 of the Code of Commercial Companies elects Mr Andrzeja Leganowicza as the Chairperson of Ordinary General Meeting

§ 2

The Resolution shall enter into force on the date of its adoption.

The President of the Management Board  stated that in secret voting there were 5.948.339 (five million nine hundred and forty eight thousand three hundred and thirty-nine )valid votes out of 5.948.339 (five million nine hundred and forty eight thousand three hundred and thirty-nine) of the shares of the Company, which constitutes 65,44% (sixty-five and forty-four hundredths of per cent of the shares in share capital of the Company, including:

§ 1

Extraordinary General Meeting of the Company called: CNT S.A. with a seat in Sosnowiec, approves of the following agenda:

1. Opening of the meeting and the election of the Chairperson of Extraordinary General Meeting.
2. Verification that the Extraordinary General Meeting was property convened and its capability to adopt valid resolutions.
3. Adoption of the agenda.
4. Adoption Resolution No. 3 on the amendment (revision) to the resolution No. 6 of the Ordinary General Meeting dated 13 June 2017.
5. Closing of the meeting.

§ 2

The Resolution shall enter into force on the date of its adoption

RESOLUTION NR 3

of EXTRAORDINARY GENERAL MEETING OF CNT S.A.

with a seat in Sosnowiec, ul. Partyzantów 11

of 16th July 2017

on  amendment (revision) to the resolution No. 6 of the Ordinary General Meeting

of 13 June 2017

§ 1

The Extraordinary General Meeting of Shareholders of CNT S.A. based in Sosnowiec, acting pursuant to Art. 398 and Art. 348 § 1 in conjunction with Art. 396 § 5 of the Commercial Companies Code, hereby amends the resolution No. 6 of the Annual General Meeting of CNT S.A. of 13 June 2017 in the following way:

1. in § 1 sec. 2, the amount of dividend paid by the Company changes from the amount of the reserve capital to the amount of PLN 1,818,000, which constitutes PLN 0.20 per share (as a result of the amendment, the total amount paid by the Company shall be PLN 1,818,000, which is PLN 0.20 per share ); therefore, § 1 sec. 2 is replaced by the following wording:

 „2.Pay the dividend in the amount of PLN 1,818,000.00 (say: one million eight hundred eighteen thousand zloty and 00/100), which constitutes PLN 0.20 (say:twenty grosz) per share of CNT S.A. from the reserve capital.”

2. Remaining content of the resolution No. 6 of the Annual General Meeting of CNT S.A. dated 13 June 2017, in particular the dividend day and the date of its payment, are unchanged.

3. The Extraordinary General Meeting of Shareholders of the company with an official name CNT S.A. based in Sosnowiec authorizes the Board of Management of the Company to perform all legal and factual actions, in particular , immediately inform the National Depository for Securities S.A. ("KDPW") about the situation in order to implement this resolution.

§ 2

The Resolution shall enter into force on the date of its adoption

The Chairman stated that in secret voting there were 5.948.339 (five million nine hundred and forty eight thousand three hundred and thirty-nine) valid votes out of 5.948.339 five million nine hundred and forty eight thousand three hundred and thirty-nine) of the shares of the Company, which constitutes 65,44% (sixty-five and forty-four hundredths of per cent) of the shares in share capital of the Company, including:

- there were 5.948.339 (five million nine hundred and forty eight thousand three hundred and thirty-nine) votes FOR the resolution,

 -0 (zero) votes AGAINST the resolution,

- 0 (zero) ‘abstained’ votes

 as a result of which the resolution no. 3 was adopted.

The Extraordinary General Meeting did not depart from considering any of the points in the Agenda and there were no objections raised in respect of any resolution.
