The Management Board of Centrum Nowoczesnych Technologii S.A. (hereinafter referred to as the "Issuer") informs that on 6 September 2018 its subsidiary, i.e. Centrum Nowoczesnych Technologii Spółka Akcyjna spółka komandytowa (the "Subsidiary", the "Ordering Party") concluded an agreement with Zakład Budowlano-Montażowy "GRIMBUD" sp. z o.o. with its registered office in Nowy Sącz (hereinafter referred to as the "Contractor") regarding general contracting of multi-family residential buildings with services no. B1, B2, B3 and B5 together with roads, parking spaces, underground garages, necessary installations and infrastructure specified in the Agreement, in a manner ensuring that on behalf of the Contracting Authority the Contractor obtains a final and unconditional decision on permission to use all the buildings subject to the agreement within the execution of stage 2 of Nowa 5 Dzielnica (the „Agreement”) located in Krakow, at Wrocławska 53 (the „Investment”).
The Contractor shall receive a lump sum remuneration in the meaning of Article 632 of the Civil Code, which amounts to PLN 84,305,686.00 net, increased by the VAT due, at the rate compliant with the regulations in force on the date of issue of the invoice.
The Contractor is obliged to commence construction works for buildings B3, B5 not later than on 4 October 2018, and for buildings B1 and B2 not later than on 4 February 2019.
The Contractor is obliged to perform the subject of the contract within 20 months from the commencement of works for buildings B3 and B5 and B1 and B2, respectively.
Other terms and conditions of the agreement, including guarantees granted to the Ordering Party, manner of securing the performance of the agreement by the Contractor, conditions of withdrawal from the agreement, contractual penalties and payment terms do not differ from the terms and conditions commonly used and characteristic for this type of agreements.
