Centrum Nowoczesnych Technologii Spółka Akcyjna, with its registered office in Sosnowiec (the "Issuer", the "Company"), announces that in connection with the registration by the District Court of Katowice Wschód in Katowice, 8th Commercial Division of the National Court Register of a reduction in the Company's share capital, the Issuer received today, i.e. 22 February 2023 from FIP 11 Fundusz Inwestycyjny Zamknięty Aktywów Niepublicznych with its registered office in Warsaw, a notification of an increase in the total number of votes and shares in the Company represented by FIP 11 Fundusz Inwestycyjny Zamknięty Aktywów Niepublicznych and entities acting in concert referred to in Art. 87(1)(5) of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies of 29 July 2005 (Journal of Laws No. 184, item 1539, as amended), i.e. Zbigniew Jakubas together with subsidiaries as defined in the Act, i.e. Multico Sp. z o.o, Energopol Trade S.A. and Wartico Invest Sp. z o.o., with the following wording:
"Acting on the basis of Article 69(2)(2) of the "Act on Public Offering and the Conditions for Introducing Financial Instruments to the Organised Trading System and on Public Companies" of 29 July 2005, Journal of Laws No. 184, item 1539 (the "Act"), I would like to inform that as a result of the registration by the District Court of Katowice Wschód in Katowice, 8th Economic Division of the National Court Register of a reduction in the share capital of Centrum Nowoczesnych Technologii S.A. (the "Company"), of which the Company informed in the Current Report 5/2023 of 21 February 2023, the total number of the Company's shares and votes represented by FIP 11 Fundusz Inwestycyjny Zamknięty Aktywów Niepublicznych and entities acting in an agreement referred to in Art. 87 (1) (5) of the Act, i.e. Zbigniew Jakubas together with subsidiaries within the meaning of the Act, i.e. Multico Sp. z o.o, Energopol Trade S.A. and Wartico Invest Sp. z o.o., increased by more than 1% of the total number of shares and votes in the Company.
Following the reduction of the share capital referred to above, FIP 11 Fundusz Inwestycyjny Zamknięty Aktywów Niepublicznych and the entities acting in the agreement referred to in Article 87(1)(5) of the Act, i.e. Zbigniew Jakubas together with the subsidiaries within the meaning of the Act, i.e. Multico Sp. z o.o, Energopol Trade S.A. and Wartico Invest Sp. z o.o., hold a total of 5,864,490 shares entitling them to 5,864,490 votes, which constitutes 85.11% of the share capital of Centrum Nowoczesnych Technologii S.A. and the same number of votes.
Prior to the aforementioned change, FIP 11 Fundusz Inwestycyjny Zamknięty Aktywów Niepublicznych and the entities acting in the agreement referred to in Article 87(1)(5) of the Act, i.e. Zbigniew Jakubas and the subsidiaries within the meaning of the Act, i.e. Multico Sp. z o.o., Energopol Trade S.A. and Wartico Invest Sp. z o.o., held a total of 5,864,490 shares, representing a 79.25 per cent share in the Company's share capital. The shares held entitled in total to 5,864,490 votes at the General Meeting and represented 79.25 % of the total number of votes.
FIP 11 Fundusz Inwestycyjny Zamknięty Aktywów Niepublicznych declares that there are no subsidiaries of it within the meaning of the Act. The subsidiaries of Zbigniew Jakubas who are also shareholders of the Company are: Multico Sp. z o.o. with its registered office in Warsaw, Energopol - Trade S.A. with its registered office in Warsaw and Wartico Invest Sp. z o.o. with its registered office in Warsaw.".
